1 Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and LumaPlot ("LumaPlot," "we," "us," or "our") governing your use of the Memglow iOS application and any related services (collectively, the "Service").

By downloading, installing, or using Memglow, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2 Who We Are

Memglow is a personal relationship memory application built and operated by LumaPlot. The Service allows you to capture voice or text notes about people in your life, and uses AI to extract, organize, and surface the details that matter to you.

3 Eligibility

You must be at least 13 years old to use Memglow. If you are between 13 and 18 years old, you represent that you have your parent's or legal guardian's permission to use the Service and to agree to these Terms.

By using the Service, you represent and warrant that you meet the eligibility requirements above, that you have the legal capacity to enter into a binding agreement, and that you will use the Service in compliance with these Terms and all applicable laws.

4 Your Account

To use Memglow, you must create an account using a valid email address. We authenticate accounts via one-time password (OTP) sent to your email — no separate password is created or stored.

• Accuracy. You agree to provide a valid email address and to keep your account information current.
• Security. You are responsible for maintaining the security of your device and any active sessions. Notify us immediately at support@memglow.ai if you suspect unauthorized access to your account.
• One account. Each account is for individual, personal use only. You may not share your account with others or create accounts on behalf of third parties without their consent.
• Responsibility. You are responsible for all activity that occurs under your account.

5 Subscriptions & Billing

Memglow offers a free tier and a paid Pro subscription. The Pro subscription unlocks additional features including expanded AI usage and audio retention options.

• Free trial. New users receive a 7-day free trial of the Pro subscription. No charge is made during the trial period. The trial automatically converts to a paid subscription at the end of the trial unless you cancel before the trial expires.
• Billing. All subscriptions are billed through Apple's in-app purchase system. Your payment is processed by Apple and subject to Apple's payment terms. LumaPlot does not store your payment information.
• Renewal. Subscriptions renew automatically at the end of each billing period unless canceled at least 24 hours before the renewal date.
• Cancellation. You can cancel your subscription at any time through your iPhone's Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
• Refunds. Subscription payments are non-refundable except as required by applicable law or Apple's own refund policies. Refund requests must be submitted directly to Apple.
• Price changes. We may change subscription prices at any time. Price changes take effect at the start of the next billing period following notice to you, which may be provided in-app or by email.

6 Acceptable Use

You agree to use Memglow only for lawful personal purposes and in a manner consistent with these Terms. You agree not to:

• Use the Service to collect, store, or process information about individuals in a way that violates applicable privacy laws, including without limitation recording details about individuals without a lawful basis to do so.
• Use the Service to harass, stalk, harm, or threaten any person.
• Attempt to gain unauthorized access to any part of the Service, our servers, or any other system connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the app.
• Use automated scripts, bots, or scraping tools to interact with the Service.
• Resell, sublicense, or otherwise make the Service available to third parties on a commercial basis.
• Use the Service in any way that could damage, disable, overburden, or impair our infrastructure.
• Violate any applicable local, state, national, or international law or regulation.

LumaPlot reserves the right to suspend or terminate accounts that violate these rules.

7 AI-Generated Content

Memglow uses AI models (including OpenAI's Whisper for voice transcription and Anthropic's Claude for fact extraction) to process your notes and generate structured outputs. You should be aware of the following:

• Your responsibility. You are solely responsible for how you use information stored in Memglow, including AI-extracted facts about other people.
• No professional advice. Nothing in the Service constitutes legal, medical, financial, or other professional advice.
• Third-party AI providers. AI processing is performed by third-party providers (OpenAI and Anthropic) subject to their own terms. These providers do not retain your data beyond processing.

8 Intellectual Property

Your content. You retain ownership of all notes, voice recordings, and contact information you enter into Memglow ("Your Content"). By using the Service, you grant LumaPlot a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely as necessary to provide the Service to you. We do not use Your Content to train AI models.

Our content. The Memglow app, including its design, code, trademarks, and all other materials, is owned by LumaPlot and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our written permission.

Feedback. If you provide us with feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9 Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

10 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content. Your use of the Service is at your sole risk.

Some jurisdictions do not allow the exclusion of implied warranties. If these laws apply to you, some of the above exclusions may not apply.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMAPLOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT WILL LUMAPLOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LUMAPLOT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50).

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages. If these laws apply to you, some of the above limitations may not apply.

12 Termination

By you. You may stop using the Service and delete your account at any time. To request account deletion, email support@memglow.ai with the subject line "Delete My Account." We will complete your request within 30 days. Deleting your account cancels any active subscription at the end of the current billing period.

By us. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, or if required to do so by law. We will make reasonable efforts to notify you where practical.

Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will continue to apply.

13 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on your account) and/or by a prominent notice within the app at least 14 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before they take effect.

14 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in California.

If you are a consumer located in the European Union or United Kingdom, you may also have rights under the mandatory consumer protection laws of your country of residence, which these Terms do not affect.
